Terms and Conditions

1. Definitions

"Services" – The GAIO Tech platform, features, tools, and deliverables described in these Terms and on our website.

"Client", "you" – The individual or entity purchasing or using our Services.

"Tokens" – Digital units used within GAIO Tech to perform scans, generate reports, or access token-based features.

"Custom Enterprise SLA" – A signed Engagement Letter / Service Level Agreement required for Custom Enterprise Plans.

2. Subscription Plans & Pricing

We offer the following subscription packages:

Core Plan (€120/month or €1,200/year)

• 10,000 GAIO tokens / month
• AI Brand Scans & AI Brand Book
• Content and question planning tools
• Full access to GAIO Academy
• 1 project included (default workspace only)
• 1 default seat (owner only)

Pro Plan (€450/month or €4,500/year)

• 60,000 GAIO tokens / month
• AI Brand Scans, Brand Book & competitive insights
• Content planning and prioritization support
• 1 GAIO Strategy session per month
• Full access to GAIO Academy
• Up to 3 projects (default + 2 additional)
• 1 default seat (owner only)

Growth Plan (€1,200/month or €12,000/year)

• 180,000 GAIO tokens / month
• Advanced competitive and market tracking
• 2 GAIO Strategy sessions per month
• Priority support and roadmap alignment
• Full access to GAIO Academy
• Unlimited projects
• 3 default seats included (owner + 2)

Custom Enterprise Plan (price on request)

• All Growth Plan features
• Custom branding & white-label frontend
• Multilingual AI reports & outputs (any language)
• Additional custom integrations (e.g., SEMrush, HubSpot, Notion, Salesforce)
• Custom AI assistants & agents
• Personalised knowledge tree setup & strategy
• Advanced permissions & role-based access
• Quarterly strategic reviews with founding team
• AI Share of Voice tracking across multiple AI platforms
• Requires signed Custom Enterprise SLA prior to activation

All plans include a free trial. No setup fees. Cancel anytime.

We reserve the right to update plan pricing and features. The most current version will be displayed on our website.

3. Token Allocation & Expiry

• Tokens are credited on your billing date.
• Tokens expire at the end of each billing cycle and do not roll over.
• Accounts remain accessible after token expiry, but token-based features are unavailable until the next billing cycle or token purchase.
• If payment is not received, no new tokens are allocated.
• Additional tokens may be purchased via a custom package.

4. Payments & Renewals

• All paid subscriptions are billed in advance, either monthly or annually.
• Payments can be made by credit card or invoice (Net 15).
• Subscriptions renew automatically unless cancelled before the renewal date.
• Upgrades take effect immediately with pro-rata billing; downgrades take effect at the next billing cycle.
• All fees are non-refundable except as required by Belgian law.

Failed Payments & Downgrades

If we are unable to process your payment, Stripe (our payment processor) will attempt to charge your payment method again. You will have 14 days from the failed payment date to update your payment method via the link provided in our email notification.

If payment is not received within this 14-day period:

• Your subscription will be automatically cancelled; and
• Your account will be downgraded to the Free Plan, with all paid-plan features disabled.
• You will retain access to your historical data but will not be able to perform token-based actions until a new paid plan is activated.

5. Intellectual Property & Content Liability

• GAIO Tech retains all rights to the platform, software, algorithms, designs, and documentation.
• You retain ownership of your data and any content you create using GAIO Tech.
• You are solely responsible for the legality, accuracy, and compliance of any content you create or publish through GAIO Tech.
• We do not monitor or moderate your content and accept no liability for any claims, damages, or losses arising from your use or misuse of the platform.

6. Acceptable Use

You agree not to:

• Use GAIO Tech for any unlawful, harmful, or infringing purpose.
• Violate applicable laws or regulations in connection with your use of the Services.
• Reverse-engineer, decompile, or copy the platform.
• Share login credentials outside your authorised team.
• Overuse or abuse token-based systems in a way that impacts service stability.

We reserve the right to suspend or terminate accounts for breaches of this section.

7. Service Availability & Disclaimer

• GAIO Tech is provided on an "as is" and "as available" basis.
• We make no guarantees of uninterrupted service but will use reasonable commercial efforts to resolve reported issues promptly.
• The platform is developed using a "build in public" model and may contain occasional bugs.

8. Limitation of Liability

• To the fullest extent permitted by law, GAIO Tech is not liable for any indirect, incidental, special, or consequential damages, including loss of profits or data.
• Our total liability in any claim is limited to the amount paid by you in the three (3) months preceding the claim (or €0 for free users).

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the term of service. These obligations survive termination.

10. Termination

• You may terminate your subscription with 30 days' written notice.
• We may terminate immediately for non-payment, misuse, or breach of these Terms.
• Upon termination, your access will cease and any unused tokens will be forfeited.

11. Governing Law

These Terms are governed by the laws of Belgium. Any disputes shall be resolved exclusively in the courts of Antwerp, Belgium.

12. Contact

These terms are effective as of August 11, 2025 and govern your use of GAIO Tech services.
